APL/SEC/08/377 dated 16th February, 2017 wherein the Company had informed you that Berger International Private Limited ('BIPL'), Singapore, indirect subsidiary of the Company, had entered into a Share Purchase Agreement with the existing shareholders of CPLPL, Sri Lanka, for acquisition of 100% controlling stake in CPLPL in an all cash deal ('transaction'), subject completion of certain condition precedents by CPLPL and Statutory approvals, if any. We have been informed that BIPL has, today, completed the aforesaid transaction for a consideration of LKR 9050 million (approx. Rs. 386.75 Crores at exchange rate of 1 INR = 2.34 LKR) in cash. None of the persons belonging to Promoter/Promoter Group, Director(s) and Key Managerial Personnel(s) of the Company has any interest in the acquisition and it is not a related party transaction for the Company.
