| Exchange Disseminated Time | LKP Shares & Securities Ltd ("Manager to the Offer") on behalf of Nirma Chemicals Works Ltd and Nirma Industries Ltd ("Acquirers"), pursuant to Regulation 10 and in compliance with the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulation, 1997, and subsequent amendments thereto ("Regulations") has announced as below:
The Offer:
The Acquirers is making an Open Offer to the shareholders of Shree Rama Multi-Tech Ltd ("Target Company") to acquire 117,82,490 fully paid equity shares of the Target Company of the face value of Rs 5 each, representing 20% of the issued, subscribed, and paid-up; and voting capital as on July 22, 2005 in terms of Regulation 21(1) of the Regulations at a price of Rs 18.60 per equity share ("Offer Price"), paid in cash, in terms of Regulation 20 of the Regulations.
