| Exchange Disseminated Time 27/05/2016 19:27:15 | PNC Infratech Ltd has informed BSE that the Board of Directors of the Company at its meeting held on May 27, 2016, inter-alia, has considered and approved and taken on record the following:
1. Recommended a final dividend of 25% i.e. Rs. 2.50 per equity shares of Rs. 10/- each for the financial year ended March 31, 2016, subject to the approval of the shareholders.
2. Considered and approved the proposal for sub-division of equity shares of face value of Rs. 10/- each into 5 equity shares of Rs. 2/- each, subject to the approval of the shareholders.
3. Reviewed the utilization of funds up to March 31, 2016 raised through IPO.
4. Approved to obtain approval of the members of the Company through Postal ballot for the following items viz.; .
(i) Increase in remuneration of Managing / Whole Time Director
(ii) Sub-division of equity shares
(iii) Alteration of Capital Clause of Memorandum of Association of the Company
(iv) Special incentive to Mr. A K Rao
(v) Revision in the Utilization of IPO proceeds. |
