| Exchange Received Time 14/11/2017 17:33:26 Exchange Disseminated Time 14/11/2017 17:33:31 Time Taken 00:00:05 | Pursuant to Regulation 33(3) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations 2015, we are pleased to submit the Unaudited Financial Results for the quarter and six months ended September 30, 2017 together with the limited review report which was reviewed by the Audit Committee and considered and approved by the Board at their meeting held on November 14, 2017 which commenced at 2.15 p.m. and concluded at 5.15 p.m.
Also, please note that Board of Directors of the Company at their meeting held today have approved the appointment of Mr. S. Lakshminarayanan (DIN- 07972480) as an Independent Director (Additional Director) on the Board.
He shall hold office as an Independent Director for a period of 5 years subject to the approval of the Shareholders at the Annual General Meeting of the Company.
Brief Profile of Mr. S. Lakshminarayanan as follows:
Mr. S. Lakshminarayanan joined the Indian Audit and Accounts service in 1965. After holding various positions in the Audit and Accounts Department, he retired as Deputy Comptroller and Auditor General in 2002. During this period, he served in the Ministry of Personnel and Pensions as Additional Secretary and earlier in the Railways and Ministry of Defense in Government of India. Mr. S. Lakshminarayanan also has various International experience.
Mr. S. Lakshminarayanan is not related to any of the Directors or Key Managerial Personnel or Promoters of the Company.
It may further be noted that based on the recommendation of Nomination and Remuneration Committee at their meeting held today, the Board of Directors have approved the grant of 822,190 stock options of Rs. 10/- each to the qualifying employees of the Company in accordance with the ESOS Scheme of the Company and applicable SEBI Guidelines.
