| Exchange Disseminated Time | KLK Electrical Ltd has informed BSE that the members at the 29th Annual General Meeting (AGM) of the Company held on September 29, 2011, inter alia, have accorded to the following:
1. Adoption of the Balance Sheet as on March 31, 2011, the Profit and Loss account for the year ended at that date together with the report of the Directors and Auditors thereon.
2. Re-appointment of Shri. John B. Thangasamy as a Director of the Company.
3. Appointment of M/s. Vivekanandan Associates, Chartered Accountants as Auditors of the Company to hold office until conclusion of the next annual General Meeting of the Company on a remuneration, terms & conditions.
4. Increase the Authorised Share Capital of the Company from Rs. 2,00,00,000/- (Rupees Two Crores only) to Rs.5,00,00,000/- (Rupees five Crores only) by creation of 30,00,000 further equity shares of Rs. 10/- each ranking pari passu with the existing equity shares & consequential amendment in the Memorandum of Association of the Company.
5. Authority to the Board to issue, offer and allot Equity shares on preferential basis up to 20,00,000 (Twenty Lakhs) equity shares of the face value of Rs. 10/- each fully paid-up at a premium of Rs.5/- for an aggregate amount up to Rs. 3,00,00,000 (Rupees three Crores only) to the following persons, and upon such terms and conditions as may be deemed appropriate by the Board at its absolute discretion.
