| Exchange Disseminated Time | | With reference to the earlier announcement dated February 10, 2014, intimating that the shareholders of the Company have approved, with the requisite majority, issue and allotment of shares to Latinia Limited, Mauritius, an affiliate of Creador II LLC (Non Promoter Category), Somany Ceramics Ltd has now informed BSE that upon receipt of Subscription money amounting to Rs. 49,99,99,990/- from M/s. Latinia Limited, the Board, at its meeting held February 19, 2014, has made allotment of 43,47,826 equity shares of Rs. 2/- each of the Company (“Equity Shares”) representing approximately 11.19% of the post-preferential issued and paid-up share capital of the Company, at a premium of Rs. 113/- each, for a total consideration of Rs. 49,99,99,990/- to Latinia Limited, Mauritius, an affiliate of Creador II LLC (Non Promoter Category), on preferential allotment basis. |
