| Exchange Disseminated Time | Aro Granite Industries Ltd has informed BSE that the members at the 22nd Annual General Meeting (AGM) of the Company held on July 29, 2010, inter alia, have accorded the following:
1. Adoption of the Profit & Loss Account for the year ended March 31, 2010 & the Balance Sheet as on that date.
2. Declaration of dividend of Re 1.00 P per equity share of the Company for the year ended March 31, 2010.
3. Re-appointment of Shri Kasturi Lai Arora & Smt. Sujata Arora as Directors of the Company.
4. Appointment of M/s. Alok Mittal & Associates, Chartered Accountants, New Delhi as Auditors of the Company from the conclusion of the 22nd Annual General Meeting upto the conclusion of the next Annual General Meeting on remuneration, terms & conditions.
5. Appointment of Shri Pradeep Kumar Jain as a Director of the Company, liable to retire by rotation.
6. Consent accorded to Ms. Shivani Arora, a relative of Shri Kasturi Lai Arora, Smt. Sujata Arora, Directors and Shri Sunil K. Arora, Managing Director of the Company, to hold an office or place of profit as Corporate Head- Marketing of the Company for a period of 5 years with effect from the date of approval by the members in the ensuing Annual General Meeting of the Company, on remuneration terms & conditions.
7. Consent accorded payment of commission not exceeding 1% of the annual net profit of the Company, computed in the manner referred to in sub-section (1) of Section 198 of the Companies Act 1956 read with Section 349 & 350 and other applicable provisions of the Companies Act 1956 on monthly/quarterly/half-yearly/annual basis as may be decided by the Board of Directors of the Company for a period of five financial years commencing April 01, 2009 to the Directors other than the Managing Director(s) and Wholetime Directors) of the Company who may in their absolute discretion accept a lower amount in any year or years. |
