| Exchange Disseminated Time | Celebrity Fashions Ltd has informed BSE that the members at the 20th Annual General Meeting (AGM) of the Company held on July 27, 2009, inter alia, have accorded to the following:
1. Adoption of the Directors Report, the Audited Profit and Loss Account for the financial year ended March 31, 2009 and the Balance Sheet as at that date and the Auditors Report thereon.
2. Re-appointment of Mrs. Nidhi Reddy and Mr. P S Raman, as Directors of the Company.
3. Re-appointment of M/s. Anil Nair & Associates & M/s. CNGSN & Associates, Chartered Accountants, Chennai, as Joint Statutory Auditors of the Company to hold office from the conclusion of this 20th Annual General Meeting till the conclusion of the 21st Annual General Meeting of the Company, on remuneration, terms & conditions.
4.To create, offer, issue and allot from time to time, in one or more tranches, not exceeding 2,94,118 (Two Lakh ninety four thousand one hundred and eighteen only) equity shares on a preferential basis to the promoter, Mr. V Rajagopal, Chairman & Managing Director, in accordance with the SEBI (DIP) Guidelines or other provisions of law as may be prevailing at the time and at the prescribed price, subject to necessary provisions and approvals. 2009. |
