| Exchange Disseminated Time | Commercial Engineers & Body Builders Co Ltd has informed BSE that the Board of Directors of the Company at its meeting held on February 07, 2012, inter alia, have taken the following decisions:
1. Approval of Notice of Postal Ballot pursuant to Section 192A of the Companies Act, 1956 along with the Explanatory Statement, Postal Ballot Form, Calendar of Events etc to be sent to the Members of the Company for obtaining their approval for:
a. Pursuant to Section 293 (1)(d) of Companies Act, 1956 and other applicable provisions, if any, of the Companies Act, 1956 for increase in borrowing powers of the company from Rs. 165.00 Crores to Rs. 350.00 Crores.
b. Pursuant to Section 293(1)(a) of Companies Act, 1956 and other applicable provisions, if any, of the Companies Act, 1956 for creation of mortgage/charge on the assets of the company upto an amount not exceeding Rs. 350 Crores
c. For alteration of clause 106 of the Articles of Association of the Company relating to "Common Seal of the Company" in terms of Section 31 and other applicable provisions, if any, of the Companies Act, 1956.
2. Appointment of Mr. S. K. Gupta, F.C.S., Practicing Company Secretary, Managing Partner of M/s. S. K. Gupta & Co., Company Secretaries, Kanpur as Scrutinizer for conducting the Postal Ballot process in a fair and transparent manner.
3. Authorisation of Shri Kailash Chand Gupta, Managing Director and Shri Anurag Misra, Company Secretary of the Company jointly and severally and to issue notice for Postal Ballot to the Shareholders and all other persons entitled to receive the same and to do all such acts, matters, deeds and things, as may be required in connection with the Postal Ballot process.
4. Appointment of Shri Kailash Chand Gupta, Managing Director and Shri Anurag Misra as the Compliance Officer responsible for entire Postal Ballot process. |
