| Exchange Disseminated Time | Orient Green Power Company Ltd has informed BSE that the members of the Company will consider to approve the resolutions, by of Postal Ballot.
1. For payment of remuneration of Rs.75 Lacs, Per Annum to Mr. R Krishnakumar, Managing Director together with other benefits, perquisites as approved by the shareholders at the Fourth Annual General Meeting held on September 07, 2011.
2. To ratified and confirmed an amount of Rs. 23 Crores (Rupees Twenty Three Crores only), in favour of M/s. Bajaj Finance Ltd ("BFL") (a Company having its branch office at 502, MMTC House, 5h floor, C-22, Bandra Kurla Complex, Bandra (East), Mumbai 400 051).
3. To confirmed an amount of Rs. 550.00 Crores (Rupees Five Hundred and Fifty Crores only), (“Phase-I Rupee Loans”), in favour of Axis Bank Limited being the Security Trustee for the benefit of the Phase-I Rupee Lenders (which expression shall include its successors, transferee, novatee and assigns) for securing the Phase-I Rupee Loans provided to M/s. Beta Wind Farm Private Limited (a subsidiary of the Company).
4. To confirmed an amount not exceeding Rs. 536 Crores, (Rupees Five Hundred and Thirty Six Crores Only) (“Phase-II Rupee Loans”) in favour of Axis Bank Limited being the Security Trustee for the benefit of the Phase-II Rupee Lenders (which expression shall include its successors, transferee, novatee and assigns) for securing the Phase-II Rupee Loans provided to M/s. Beta Wind Farm Private Limited (a subsidiary of the Company).
Duly Completed Postal Ballot should be reach the scrutinizer on or before the close of working hours (5.00 P.M) on May 25, 2012.
The results of the Postal Ballot will be announced by Mr. P. Krishnakumar, Managing Director or Mr. R. Sridharan, Vice President & Company Secretary on May 28, 2012, at 03.00 P.M., at D-17, Sipcot Industrial Complex, Gummidipoondi-601201, Thiruvallur District.
