| Exchange Disseminated Time | AI Champdany Industries Ltd has informed BSE that the shareholders of the Company by way of Postal Ballot have passed the following resolutions:
1. Ordinary Resolution u/s 293(1)(a) of the Companies Act, 1956 for transfer of Shalimar Unit to AIC Properties Ltd., a wholly owned subsidiary of the Company.
2. Ordinary Resolution for alteration and amendment of Authorised Share Capital Clause 5 of Memorandum of Association of the Company.
Both resolutions have therefore been approved by the Shareholders with requisite majority but Resolution No. 1 for transfer of Shalimar Unit to Wholly Owned Subsidiary, AIC Properties Ltd. shall not be given effect till the next date of hearing in the matter by Hon'ble Company Law Board. |
