| Exchange Disseminated Time 06/01/2017 17:37:28 | Celebrity Fashions Ltd has informed BSE that the Board of Directors of the Company at its meeting held on January 06, 2017, inter alia, has approved the following:
1) Issue of 35,00,000 (Thirty Five lakhs) Equity shares of face value of Rs.10/- each on preferential basis to the Promoters / Directors.
2) Issue of 65,00,000 (Sixty Five lakhs) Warrants, Convertible into equivalent number of Equity Shares of face value of Rs.10/- each to the Promoters/ Directors.
This is subject to the approval of the Members of the Company through postal ballot by way of passing Special Resolution under Section 42 and 62 of the Companies Act, 2013 and other necessary regulatory approvals.
