| Exchange Disseminated Time | Ankit Metal & Power Ltd has informed BSE that the members at the Annual General Meeting (AGM) of the Company held on September 15, 2011, inter alia, have transacted the following:
1. The Audited Balance Sheet as at March 31, 2011 and the Profit & Loss Account for the year ended on that date together with the Directors' Report and Auditors' Report thereon was considered and adopted.
2. Mr. Kailash Chand Jain, who retires by rotation and being eligible, offers himself for re-appointment, was appointed as director of the Company.
3. Mr. Jatindra Nath Rudra, who retires by rotation and being eligible, offers himself for re-appointment, was appointed as director of the Company.
4. M/s. R. Kothari & Company, Chartered accountants, was appointed as the Auditors of the Company from the conclusion of this Annual General Meeting (AGM) to the conclusion of the next Annual General Meeting and the Board of Directors of the Company was authorized to fix as their remuneration.
5. Pursuant to the provisions of Section 198, 269, 309 and 311 read with schedule XIII and other applicable provisions, if any, of the Companies Act, 1956, the re-appointment of Mr. Ankit Patni as Managing Director of the Company for a further period of 5 (five) years w.e.f. July 03, 2011 was approved.
6. The Authorised Share Capital of the Company was increased from Rs. 80 Crore to Rs. 100 Crores, by creation of 20,000,000 Equity shares of Rs. 10/- each ranking pari passu in all respect with the existing Equity shares.
7. Pursuant to the provision of Section 81(1A) of the Companies Act, 1956 consent of the members was accorded to issue 6,25,00,000 Equity Shares of Rs. 10/- each at a price of Rs. 40/- per equity shares (including premium of Rs. 30/-per share) on Preferential basis to the entities belonging to Promoter Group and strategic investors belonging to Non-Promoter Group. |
