| Exchange Disseminated Time 20/09/2016 17:11:26 | Simplex Infrastructures Ltd has informed BSE that the Board of Directors of the Company at its meeting held on September 20, 2016, inter alia, has transacted the following;
1. Mr. A. K. Chatterjee, CEO & Whole-time Director has resigned from the Board of Directors w.e.f. September 20, 2016 due to his advanced age and indifferent health. The Board has accepted his resignation.
2. The Board has recommended the appointment of Mr. Dipak Narayan Basu as a Whole-time Director, subject to approval of the Members by way of Postal Ballot. Mr. D. N. Basu graduated in Civil Engineering from Jadavpur University and is a Fellow Member of the Institute of Engineers (India). Mr. D. N. Basu is not related to any Director of the Company.
3. Mr. Atindra Narayan Basu, has been inducted in the Board of Directors of the Company as an Additional Director, designated as Whole-time Director w.e.f. September 20, 2016 subject to approval by Members by way of Postal Ballot. Mr. A. N. Basu graduated from Jadavpur Engineering College and is a Fellow member of the Institute of Engineers (India). Mr. A. N. Basu is not related to any Director of the Company.
4. Mr. A. N. Basu, Whole-time Director has been appointed as a Key Managerial Personnel of the Company in pursuance of Section 203 of the Companies Act, 2013.
5. In view of the resignation of Mr. A. K. Chatterjee, CEO & Whole-time Director, and consequent appointment of Mr. A. N. Basu, Whole-time Director, there has been a change in the constitution of Key Managerial Personnel for determination of material event or information.
6. Mr. Rajiv Mundhra, Whole-time Director, has been appointed as the 'Executive Chairman' of the Company w.e.f. September 21, 2016.
7. Mr. A. D. Mundhra, Non-Executive Vice - Chairman has resigned from the Board w.e.f. close of business hours on September 20, 2016 due to his commitment to other business activities. The Board has accepted his resignation. |
