Shanthi Gears Ltd has informed BSE that at the meeting held on January 27, 2017, the Board of Directors inter alia have approved the following:

1. Amendment of Articles of Association

The Board approved the amendment of Articles of Association of the Company by replacing the existing Articles in entirely with new articles in alignment with the provisions of the Companies Act, 2013 subject to the approval of shareholders through postal ballot.

2. Interim Dividend

The Board decided not to declare interim dividend.
