Tranche I - The Company is investing approximate INR 4,00,00,000 (Indian Rupees Four Crores) subject to the terms of the Share subscription and Shareholders' Agreement executed, inter alia, between the Company and the Target Company ('SSHA'), by subscribing to 50,855 Compulsorily Convertible Preference Shares (earlier 46810 CCPS), having face value of Rs. 1 each and 100 Equity Shares having face value of Rs. 1 each, and hence acquiring approximate 29% of the total share capital of the Target Company.
Tranche II - The Company may be investing approximate INR 3,00,00,000Indian Rupees Three Crores) by subscribing to Compulsorily Convertible Preference Shares and Equity Shares, to be determined at the time of investment in accordance with the SSHA.
