| Exchange Disseminated Time | Commercial Engineers & Body Builders Co Ltd has informed BSE that the Board of Directors of the Company at its meeting held on August 06, 2015, inter alia, has transacted the following;
1. The Board has accorded its consent to adopt a new set of Articles of Association pursuant to Companies Act, 2013, in substitutions for and to the exclusion of all existing Article of Association of the Company. The said proposal shall be subject to the approval of the shareholders of the Company at the ensuing Annual General Meeting.
2. The Board approved the proposal to seek approval of shareholders for adopting a ESOP Scheme with the name "CEBBCO ESOP Scheme, 2015" (Scheme) and In view of this; a proposal for obtaining shareholders consent to the said Scheme and suitably amending the Memorandum of Association of the Company will be placed before the Shareholders for their approval at the ensuing Annual General Meeting. |
