| Exchange Disseminated Time | Morarjee Textiles Ltd has informed BSE that the members at the 13th Annual General Meeting (AGM) of the Company held on August 11, 2008, inter alia, have accorded the following:
1. Adoption of the Audited Balance Sheet as at March 31, 2008 and the Profit and Loss Account for the year ended on that date and the Reports of the Directors and Auditors thereon.
2. Re-appointment of Mr. Aditya Mangaldas, Mr. Mahesh S Gupta, as Directors of the Company.
3. Re-appointment of M/s. Shah & Co., Chartered Accountants, as Auditors of the Company for the current year ending March 31, 2009 to hold office from the conclusion of this Annual General Meeting until the conclusion of the next Annual General Meeting and to fix their remuneration.
4. Payment of minimum remuneration to Mr. P K Gothi as the Managing Director for the balance period of his tenure with effect from April 01, 2007, on necessary terms & conditions.
5. Payment of minimun remuneration to Mr. Harshvardhan A Piramal as the Executive Vice Chairman for period of 3 years with effect from June 01, 2007 till May 31, 2010, on necessary, terms & conditions.
6. Alternation of Articles of Association of the Company. |
