| Exchange Disseminated Time | | Tata Honeywell Ltd has informed BSE that a Share Purchase Agreement dated July 9, 2004 was executed by the Indian Promoters of the company (Tata Industries Ltd, Tata Iron & Steel Company Ltd, Tata Power Company Ltd and Tata Chemicals Ltd) with Honeywell Asia Pacific Inc, the foreign Promoter of the company. Pursuant to the aforesaid agreement, Honeywell Asia Pacific Inc has agreed to purchase the entire equity shareholding of the Indian Promoters in the company (representing approximately 40.62% of the total issued and paid up equity share capital of the company) at Rs 350 per equity share subject to fulfillment of certain conditions including receipt of regulatory approvals. |
