Media Matrix Worldwide Ltd has informed BSE that the Board of Directors of the Company at its meeting held on March 06, 2013, has approved the Final Letter & Offer for the Issue of equity shares on right basis subject to changes which may be suggested by SEBI:-

The details of the proposed Rights issue are summarized as under:

(i) Size of the Issue: Rs. 108,93,42,000/-

(ii) Ratio: 1: 9 (9 Equity shares are offered for every 1 equity shares held as on the Record Date)

(iii) Price: Equity shares in Rights Issue are offered at Rs. 1.20 (Rupee One and Twenty paisa only) per Equity share.

(iv) Break-up of price: Re. 1/- (Rupee One only) towards face value, 20 Paisa (Twenty Paisa only) towards Premium

(v) No. of Equity shares Offered: 90,77,85,000

(vi) Total Number of Equity Shares outstanding prior to the Issue: 10,08,65,000

(vii) Treatment Fractional Entitlements: The Equity Shares are being offered on a rights basis to the existing equity Shareholders in the ratio of 9 Equity Shares for every 1 Equity Shares held as on the Record Date. For Equity Shares being offered on a rights basis under this Issue, the fractional entitlement, if any, of such Equity Shareholders shall be ignored for computation of the Rights Entitlements. However, Equity Shareholders whose fractional entitlement, if any, are being ignored will be given preference in the allotment of one additional Equity Share each, if such Equity Shareholders have applied for additional Equity Shares over and above their Rights Entitlement.
