| Exchange Disseminated Time | Abirami Financial Services India Ltd has informed BSE that the Board of Directors of M/s. Abirami Financial Services (India) Limited (the demerged company) at their meeting held on October 24, 2014 had approved the Draft scheme of De-merger of Abirami Financial Services (India) Limited with Abirami Enterprises Limited (Resulting Company).
Upon the approval of the scheme by the Hon'ble High Court, Madras the resultant Company shall issue and allot 30,00,000 (Thirty Lakh) Equity Share of Rs. 10/- each fully paid up to the share holders of the Demerged Company.
The scheme is subject to and conditional upon approval of the share holders and sanction of the Hon'ble High court of Madras, pursuant to Section 391 of the Companies Act 1956, Accordingly the scheme although operative from the appointed date shall come into effect on the effective date, being the date or last of the dates on which the certified copies of the orders sanctioning the scheme are filed by the transferor Company and the transferee company with the Registrar of Companies Tamil Nadu, Chennai. |
