| Exchange Disseminated Time | Sundaram Clayton Ltd has informed BSE that the members of the Company will consider to approve by way of Postal Ballot the following Resolutions:
1. To alter the Memorandum of Association of the Company.
2. To commence the business activities in sub-clauses 7(a) to 7(h) of clause III of the Memorandum of Association of the Company, subject to necessary provisions & approvals.
The Board of Directors has appointed Mr. K Sriram, Practicing Company Secretary as the Scrutinizer for conducting the Postal Ballot process in a fair and transparent manner.
The Postal Ballot form duly completed should reach the scrutinizer not later than on October 12, 2009. The scrutinizer will submit his report to the Chairman after completion of the scrutiny and the results of the postal ballot will be announced by Mr. Venu Srinivasan, Managing Director of the Company, as Chairman in terms of article 148 of the Articles of Association of the Company or in his absence any person authorised by the Chairman on October 14, 2009. |
