| Exchange Disseminated Time 11/02/2017 16:52:25 | | In continuation to the letter dated December 21, 2016 and subsequent to the filing of the order of the Hon'ble High Court of Calcutta with the Registrar of Companies, West Bengal, approving the Scheme of Amalgamation between Texmaco Rail & Engineering Limited ('Texmaco') and Kalindee Rail Nirman (Engineers) Limited ('Kalindee') and their respective shareholders and creditors (“Scheme”), Texmaco Rail & Engineering Ltd has now informed BSE that the drawn up order of the Hon'ble High Court of Delhi, which was received by Kalindee on January 18, 2017 has been filed by Kalindee with the Registrar of Companies, Delhi on February 11, 2017, and the Scheme has become effective in accordance with its terms. Consequent to the filing, Kalindee, post its amalgamation into and with Texmaco, stands dissolved without winding-up and ceases to exist as a Company. |
