| Exchange Disseminated Time | Century Enka Ltd has informed BSE that the members of the Company will consider to approve by way of Postal Ballot the Special Resolution relating to create, offer, issue and allot, from time to time, in one or more tranches, upto 18,00,000 (Eighteen lacs only) Warrants on a preferential basis to Century Textiles and Industries Ltd and / or TGS Investment and Trade Pvt. Ltd and / or other Promoters and / or Promoter Group of the Company, entitling the holder of each Warrant, from time to time, to apply for and obtain allotment of one equity share of the face value of Rs. 10/- each against such Warrant ("Warrants"), in one or more tranches, in such manner and on such price, terms and conditions as may be determined by the Board in accordance with the ICDR Regulations or other provisions of law as may be prevailing at the time, provided that the minimum price of the Warrants so issued shall not be less than the price arrived at in accordance with provisions of Chapter VII of ICDR Regulations, subject to necessary provisions & approvals.
The Company has appointed Mr. P L Mallik of Kolkata as Scrutinizer failing him Mr. K K Sharma of Kolkata for conducting the Postal Ballot process in a fair and transparent manner.
The Postal Ballot form duly completed should reach the scrutinizer on or before December 05, 2009. The scrutinizer will submit his report to the Chairman / Director after completion of the scrutiny and the results of the postal ballot will be announced by the Chairman / Director on December 09, 2009. |
