| Exchange Disseminated Time | Systematix Corporate Services Ltd ("Manager to the Offer") for and on behalf of Mr. Ram N. Ramamurthy ("Acquirer") has issued this Post Offer Public Announcement to the Equity Shareholders of I-Power Solutions India Ltd ("Target Company"), which is in continuation of & should be read in conjunction with the Original Public Announcement ("PA") dated December 21, 2009, Corrigendum to the PA dated May 29, 2010 and the Letter of Offer dated May 28, 2010 ("Letter of Offer"), pursuant to Regulation 10 and 12 and in compliance with Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 and subsequent amendments thereto ("Regulations"), to acquire upto 8,89,800 equity shares of Rs. 10/- each representing 20% of the voting capital of the Target Company at a price of Rs. 5.75/- (Rupees Five and Paise Seventy-Five Only) ("Offer Price") payable in cash are as under:
