| Exchange Disseminated Time | Nippo Batteries Company Ltd has informed BSE that the members at the 36th Annual General Meeting (AGM) of the Company held on September 11, 2009, inter alia, have accorded to the following:
1. Adoption of Annual Accounts for the year ended March 31, 2009.
2. Rs 20/- (200%) per share dividend was declared for the Financial Year April 01, 2008 to March 31, 2009.
3. Appointment of Dr. S A Dave & Mr. J Junichi Goto as Directors liable to retire by rotation.
4. Appointment of M/s. P Srinivasan & Co., Chartered Accountants as Auditors of the Company for a remuneration of Rs 5,50,000/- Per year.
5. Appointment of Mr. H Aota, Mr. Hiroshi Sugimura & Mr. M Morikawa, as Directors of the Company liable to retire by rotation.
6. Appointment of Mr. P Dwarakanath Reddy & Mr. R P Khaitan, as Directors of the Company shall not be liable to retire by rotation.
7. Appointment of Mr. P Dwarakanath Reddy as Managing Director of the Company with effect from October 01, 2009 to September 30, 2014 and payment of Remuneration with effect from October 01, 2009 to September 30, 2012.
8. Appointment of Mr. R P Khaitan as Joint Managing Director of the Company with effect from October 01, 2009 to September 30, 2014 and payment of Remuneration with effect from October 01, 2009 to September 30, 2012. |
