Jindal Worldwide - Outcome of AGM

Jindal Worldwide Ltd has informed BSE that the members at the 20th Annual General Meeting (AGM) of the Company held on September 30, 2006, inter alia, have accorded to the following:

1. Adoption of the Audited Balance Sheet as at March 31, 2006 and Profit & Loss Account for the year ended as on that date along with reports of auditors and directors.

2. Declaration of Dividend @ 5% on equity shares of the Company.

3. Re-appointment of Shri Amit Agrawal and Shri Ajay Agrawal as Directors of the Company.

4. Re-appointment of M/s Ashok Kumar S Gupta & Co, Chartered Accountant, Ahmedabad, as auditor of the Company to hold office from the conclusion of this meeting until the conclusion of next Annual General Meeting of the Company, on remuneration, terms and conditions.

5. Re-appointment of M/s Jagdish Prasad Verma & Co., Chattered Accountant, Ahmedabad, as Auditors of the Divisions and Branches of the Company to hold office from the conclusion of this meeting until the conclusion of next Annual General Meeting of the Company, on remuneration, terms and conditions.

6. Appointment of Shri Devendra Jain and Shri Tapas Kumar Sen, as Directors of the Company, liable to retire by rotation.

7. Appointment of Mr Jitendra Agrawal, as Vice Chairman of the Company for a period of Five years (not exceed five years) w.e.f. September 02, 2006 whose office shall not be liable to retirement by rotation on remuneration, terms & condition.

8. Appointment of Mr Amit Y Agrawal, as Managing Director of the Company for a period of Five years (not exceed five years) w.e.f. September 02, 2006 whose office shall not be liable to retirement by rotation on remuneration, terms & condition.

9. Appointment of Mr Rajesh Jain, as Wholetime Director of the Company for a period of Five years (not exceed five years) w.e.f. September 02, 2006 whose office shall not be liable to retirement by rotation on remuneration, terms & condition.
