| Exchange Disseminated Time 05/10/2016 17:10:20 | Phillips Carbon Black Ltd has informed BSE that the Board of Directors of the Company at its meeting held on October 05, 2016, inter alia, have considered and approved the Scheme of Amalgamation of Phillips Carbon Black Limited and Goodluck Dealcom Private Limited, a wholly owned subsidiary of Phillips Carbon Black Limited (referred to as “Scheme of Amalgamation”).
The above proposal is subject to satisfaction of various conditions, including obtaining necessary approvals from the shareholders and regulatory authorities including Securities and Exchange Board of India (SEBI), Stock Exchanges and sanction of scheme by the concerned High Courts and / or any other appropriate authority as may be necessary. |
