| Exchange Disseminated Time | Vishal Retail Ltd has informed BSE that members of the Company will consider the following resolutions by way of Postal Ballot.
1. Change in its name to "V2 Retail Limited" and consequently the name of the Company be replace with the new name in the Memorandum and Articles of Association, bills, papers, sign boards and any other documents wherein the name is inscribed, subject to necessary provisions and approvals.
2. Alteration of Clause C, being the Objects Clause of the Memorandum of Association of the Company.
3. The commencement, at such time or times as the Board of Directors may deem fit, all or any of the businesses stated in new sub-clauses 10A and 10B of Clause III (C) (10) of the Memorandum of Association of the Company.
4. To appoint M/s Surendra Kumar Surana & Company, Chartered Accountants as Statutory Auditors of the Company for the Financial Year 2010-11 to hold office till the conclusion Of the ensuing Annual General Meeting on such remuneration as may be fixed by the Board of Directors upon the recommendation of Audit Committee.
5. To appoint Mr. Rahul as independent director of the Company whose office is liable to determine by rotation at such remuneration as may be agreed thereon with the Board of Directors of the Company.
6. To appoint Mr. Dharm Nath Prasad as independent director of the Company whose office is liable to determine by rotation at such remuneration as may be agreed thereon with the Board of Directors of the Company.
The Company has appointed Mr. Saurabh Arora, CP Associates, Company Secretaries as Scrutinizer to scrutinize the Postal Ballots in a fair and transparent manner. The Scrutinizer will submit his report to the Chairman on June 24, 2011 at 3:30 P.M. and the result of postal ballot will be announced by the Chairman at the registered office on June 25, 2011.
The Postal Ballot Form, should reach the Scrutinizer before the close of working hours, on or before June 20, 2011. |
