Modi Rubber Ltd has informed BSE that the members at the 38th Annual General Meeting (AGM) of the Company held on November 27, 2010, inter alia, have accorded to the following:

1. Adoption of the Audited Profit & Loss Account for the accounting year ended March 31, 2010 and the Balance Sheet as at March 31, 2010 together with the relevant schedules and the Report of the Directors and the Auditors thereon.

2. Re-appointment of Mr. Sanjivani Sahni as a Director of the Company.

3. Re-appointment of M/s. PDM & Co., Chartered Accountant, New Delhi as Auditors of the Company to hold office from the conclusion of this Annual General Meeting until the conclusion of the next Annual General Meeting of the Company, on remuneration, terms & conditions.

4. Appointment of Mr. Neeraj Sharma as Directors of the Company, liable to retire by rotation.
