| Exchange Disseminated Time | Igarashi Motors India Ltd has informed BSE that the Board of Directors of the Company at its meeting held on May 25, 2015, inter alia, has approved following :
1. Mr. K Igarashi has ceased to be a Director with effect from April 01, 2015 since he did not attend any meeting of the Board in the last 12 months as provided under Section 167(1 (b)) the Companies Act, 2013;
2. Formulated and adopted "Code of Conduct for Disclosure of Unpublished Price Sensitive Information” (Code of Fair Disclosure] of the Company (under Regulation 8 of SEBI (Prohibition of Insider Trading) Regulations, 2015) with effect from May 15, 2015.
3. Formulated and approved "Code of Internal Procedures and Conduct for Regulating, Monitoring and Reporting of Trading by Insiders” (Code of Conduct) of the Company (under Regulation 9 of SEBI (Prohibition of Insider Trading) Regulations, 2015) with effect from May 15, 2015. |
