| Exchange Disseminated Time | Sundram Fasteners Ltd has informed BSE that the members at the 46th Annual General Meeting (AGM) of the Company held on August 20, 2009, inter alia, have accorded to the following:
1. Adoption of the Audited Balance Sheet as at March 31, 2009, the Profit and Loss Account for the year ended March 31, 2009 and the Reports of the Directors and the Auditors of the Company.
2. Re-appointment of Sri K Ramesh, & Sri R Srinivasan, as Directors of the Company, subject to retirement by rotation.
3. Re-appointment of M/s Sundaram & Srinivasan, Chartered Accountants, Chennai as Auditors of the Company to hold office from the conclusion of this Annual General Meeting till the conclusion of the next Annual General Meeting of the Company.
4. Appointment of Ms. Arundathi Krishna, as Director of the Company, whose office shall not be subject to retirement by rotation in terms of Article 30 of the Articles of Association of the Company.
5. Appointment of Ms. Arundatihi Krishna, as Whole Time Director of the Company for a period of five years from September 18, 2009 to September 17, 2013, on remuneration, terms & Conditions, subject to necessary provisions and approvals. |
