Bharat Gears Ltd has informed BSE that an Extra Ordinary General Meeting (EGM) of the members of the Company will be held on December 14, 2005, inter alia, to authorise the Board / Committee to issue and allot equity shares in the proportion of 3 new Equity Shares of Rs 10/- each for every 10 Equity Shares of the Company, at a premium of Rs 30/- per share or at such price (i.e. at appropriate premium) as may be arrived at, having regard to then prevailing market conditions and other external factors, after consulting the appropriate authorities as the Board may deem fit, upto an amount not exceeding Rs 80 million, subject to necessary approvals and provisions.
