| Exchange Disseminated Time | Emkay Global Financial Services Ltd has informed BSE that the 16th Annual General Meeting (AGM) of the Company was held on August 30, 2010, inter alia, accorded the following :
1. The Balance Sheet as at March 31, 2010 and the Profit and Loss Account for the year ended on that date and the Reports of the Directors and the Auditors were received, considered , approved and adopted.
2. Declaration of dividend on equity shares @ Rs.1 per share.
3. Mr. R. K. Krishnamurthi and Mr. G. C. Vasudeo, Directors who retired by rotation at the said Annual General Meeting ,were re-appointed as Directors of the Company.
4. The shareholders re-appointed M/s B, L. Sarda & Associates, Chartered Accountants as the Auditors of the Company to hold office from the conclusion of the 16th Annual General Meeting until the conclusion of the next Annual General Meeting of the Company.
5. The members approved the re-appointment of and payment of remuneration to Mr. Prakash Kacholia -Managing Director and Mr. Krishna Kumar Karwa, Managing Director & CFO of the Company for a period of three years w.e.f. October 01, 2010.
6. The members approved the payment of commission to neither Non executive Independent Directors who are neither in the Whole-time employment nor Managing Directory for the period of 5 years from the financial year commencing April 01, 2010.
7. The members approved the amendment of the ESOP SCHEME 2007 for inclusion of name of subsidiary i.e. Emkay Investment Managers Ltd. and any such other subsidiaries as may be formed /acquired by the company from time to time.
8. The members approved the amendment of ESOP SCHEME 2007- option granted in excess of 1% of the paid up share capital but do not exceed 5% of issued capital to the employees of Emkay Investment Managers Ltd as one of its subsidiary company and any such other subsidiaries as may be formed/acquired from time to time.
9. The members approved the introduction of the ESOP SCHEME 2010 through Trust Route. |
