| Exchange Disseminated Time | BASF India Ltd has informed BSE that members of the Company will consider the resolution, by way of Postal Ballot, to authorise the Board of Directors of the Company ("the Board" which expression shall also include a Committee thereof) to sell / dispose off / transfer the Company's pesticides formulations and packaging unit ("Unit") situated at 83/2, Dena Bank Road, Demni Village, Dadra - 396 191 in the Union Territory of Dadra & Nagar Haveli to "Sonachi Industries Ltd" for a total consideration of Rs. 5.15 Crores on the terms and conditions as set out in the Agreement to Sale dated October 09, 2009, subject to necessary provisions and approvals.
The Company has appointed Mr. Hemant S. Shetye, Practicing Company Secretary, as the Scrutinizer for conducting the postal ballot process in a fair and transparent manner.
The Postal Ballot Form should reach to the Scrutinizer on or before November 28, 2009.
The Scrutinizer shall submit his report to the Chairman after completion of the scrutiny of the Postal Ballot Forms and the results of the Postal Ballot will be announced on or before November 30, 2009. |
