We are in receipt of a communication from ICICI Securities Limited informing us that in terms of the Regulation 12(1) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 and subsequent amendments thereto ('SEBI (SAST) Regulations'), the Acquirer has made an open offer to acquire 4,315,840 equity shares, representing 26% of total outstanding capital of the Company. The issue which triggered the offer is the proposal wherein the Acquirer shall purchase from Emedia Export Company MBH, Merck Internationale Beteiligungen GmbH and Chemitra GmbH (together, the 'Sellers') 8,599,224 (Eight Million Five Hundred Ninety Nine Thousand Two Hundred Twenty Four) equity shares of face value INR 10 (Indian Rupees Ten only) each of the Company, which constitutes 51.80% of its Voting Share Capital.
