| Exchange Received Time 08/10/2018 19:47:23 Exchange Disseminated Time 08/10/2018 19:47:31 Time Taken 00:00:08 | Pursuant to the requirements of provisions of Regulation 30 of the SEBI Listing Regulations, 2015 read with Para A of Part A of Schedule III, we wish to inform you that the meeting of the COD of the Company was held today to approve the issuance of 2,50,00,000 Cumulative Compulsorily Redeemable Non-Convertible Preference Shares ('CRPS') of FV of Rs. 100 each at par aggregating to a nominal amount of Rs. 250,00,00,000 on a private placement basis. The CRPS will be unlisted but may be listed subsequently at the option of the Company on any recognized stock exchange and will have a tenure of 3 years from the date of allotment. The redemption of CRPS will be done in accordance with the provisions of Section 55 of the Companies Act, 2013.
The other details as required in accordance with the requirements of SEBI circular dated September 9, 2015 are not applicable.
The meeting commenced at 7.00 pm and concluded at 7.30 pm.
