Pursuant to Regulation 42 of SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015, we wish to inform you that in accordance with sanctioned Scheme of Amalgamation, the record date for reduction of share capital (the face value of the Company be reduced from Rs.10/- to Rs.2/-) and allotment of new equity shares has been revised as follows
Day - Wednesday
Date - 18th April, 2018
Following changes in the share capital shall occur as per the sanctioned Scheme of Amalgamation:
(i) 16 (Sixteen) equity shares at par of M/s. Accel Transmatic Limited (Transferee Company) having face value of Rs.2 /- per share fully paid up shall be issued for every 1 (One) Equity shares of the face value of Rs.10/- per share fully paid up held by such member of the M/s. Accel Limited (Transferor Company) and the total number of shares so issued shall be 5,16,00,000 (Five Crore Sixteen Lakhs) shares of Rs.2/- each.
(ii) 1 (One) equity share at par of M/s. Accel Transmatic Limited (Transferee Company) having face value of Rs.2/- per share fully paid up shall be issued for every 1 (One) Equity share of the face value of Rs.10/- per share fully paid up held by such member of the Transferee Company (Other than M/s. Accel Limited) and the total number of shares so issued shall be 54, 07,401 (Fifty Four Lakhs Seven Thousand Four Hundred and One) shares of Rs.2/- each.
