| Exchange Received Time 01/08/2018 18:35:59 Exchange Disseminated Time 01/08/2018 18:36:07 Time Taken 00:00:08 | This is with reference to our earlier letter dated November 04, 2017 informing the Exchange about the approval of Scheme of Amalgamation of Motilal Oswal Securities Limited ('Transferor Company') with Motilal Oswal Financial Services Limited ('Transferee Company' or 'Company') and their respective shareholders ('Scheme') by Board of Directors of the Company.
In view of the aforesaid and pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company wish to inform the Exchange that the Hon'ble National Company Law Tribunal, Mumbai Bench, has approved the Scheme vide its order dated July 30, 2018. The aforesaid order was received by the Company on August 01, 2018.
The Scheme would be effective on completion of certain conditions precedent as mentioned in the Scheme. We will keep Exchange updated on further developments in relation to implementation of the Scheme.
