In reference to the above captioned subject, we wish to inform you that PNB MetLife has filed a draft red herring prospectus with the Securities and Exchange Board of India for an initial public offering of up to 495,898,076 equity shares of the face value of 10 each ('Equity Shares') for cash, through an offer for sale ('Offer') by certain of its existing shareholders including us, the Jammu and Kashmir Bank Limited. We currently hold 102,189,189 Equity Shares (constituting 5.08% of the paid-up equity share capital of PNB MetLife) and propose to sell/transfer through the Offer up to 76,641,892 Equity Shares (constituting 3.81 % of the paid-up equity share capital of PNB MetLife).
