Further to our letters of 14th April, 2017 and 21st April, 2017, copies of which are attached for your ready reference, we wish to inform you that the Hon'ble National Company Law Tribunal, Kolkata Bench has sanctioned the Scheme of Amalgamation of BJN Paints India Limited ('the Transferor Company'), a wholly owned subsidiary of Beepee Coatings Private Limited (which itself is a wholly owned subsidiary of the Company) with the Company with effect from 1st April, 2017, being the Appointed Date for the purpose, as submitted to the Stock Exchange under cover of our aforesaid letter of 21st April, 2017.
The Company is in the process of submitting necessary form INC 28 with a certified copy of the said Order to the Registrar of Companies, West Bengal.
