Pursuant to Regulation 30 of the SEBI(Listing Obligations and Disclosure Requirements) Regulations, 2015, this is to inform that the members of the Company at the Extra-Ordinary General Meeting held on Thursday, 17th May, 2018 at "KTDC Rain Drops", 169/2, Greams Road, Chennai, Tamil Nadu-600 006 have transacted all the items contained in the Notice dated 29th March, 2018. The Company had provided remote e-voting facility to the members to cast their vote electronically, on all resolutions set forth in the Notice. The Company has also provided the facility of polling by Ballot Paper to those shareholders and proxy holders, who attended the EGM and who did not participate in the remote e-voting for the following subjects, as contained in Item Nos. 1 to 6 of the notice of the EGM.
Special Business:
1. Leasing, selling, transferring, conveying, assigning or otherwise disposing of the Company''s immovable property.
2. Change in name of the Company.
3. Alteration of Object Clause in the Memorandum of Association of the Company.
4. Adoption of new set of Memorandum of Association of the Company as per Companies Act, 2013.
5. Alteration of the Articles of Association of the Company.
6. Fixing of remuneration of Mr.N.R.Panicker, Managing Director.
The details of Consolidated Voting results of the remote e-voting and Poll at the EGM Venue by the shareholders on all resolutions as set out in item nos. 1 to 6 of the EGM will be forwarded separately, in the format prescribed under Regulation 44(3) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
