In continuation to our earlier letters vide which, it was informed that FCCL had entered into a MoU with the following: LHPL, another step down subsidiary of the Company, Dr. Lakshmi Narayana Raju, Ms. Lakshmi Priya, Mr. S. Venkataramana Raju (collectively the 'Remaining Promoters of LHPL') and Anikrish Hospitals Private Limited, for, inter alia, sale of the entire shareholding held by FCCL, representing 79.43% of the total issued and paid up equity share capital of LHPL, to the Remaining Promoters of LHPL ('Proposed Transaction'). It is hereby informed that the parties to the MoU have today entered into definitive agreements, inter-alia, share purchase agreement in relation to the Proposed Transaction. Accordingly, as on date, with the consummation of this Proposed Transaction, the control and management of LHPL has been transferred by FCCL to the Remaining Promoters of LHPL, and accordingly, LHPL will cease to be the step-down subsidiary of the Company.
