Sub: Outcome of Board Meeting held on Thursday, 1st November, 2018
Dear Sir/Madam,
Pursuant to Regulation 30 read with Schedule III, Part A (7) of SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, please note that the Board of Directors of the Company in their meeting held on Thursday, 1st November, 2018 approved the appointment of Mr. Murali Sivaraman as Additional Director and Non-Executive Independent Chairman of the Company, w.e.f. 1st January, 2019 for a period of 5 years, subject to approval of shareholders.
Mr. Suresh Gupta, Executive Chairman of the Company, retires on 31st December, 2018, on expiry of his term. The Board placed on record its deep sense of gratitude and appreciation for the leadership and direction given by Mr. Suresh Gupta spanning more than three decades.
The details required under Regulation 30 of the Listing Regulations read with SEBI Circular No. CIR/CFD/4/2015 dated 9th September, 2015 are given in the enclosed annexure.
Please take the above information and annexure to the letter pursuant to the requirements of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements), Regulations, 2015 on your records.
