We wish to inform you that subsequent to the approval accorded by the Board of Directors of the Company (the 'Board") at its meeting held on March 9, 2018 and the Special Resolution passed though Postal ballot by the Shareholders on May 15, 2018, the Fund Raising Committee of the Company at its meeting held today, i.e., on August 1, 2018 has, inter alia passed the following resolutions:
a. To raise funds by way of issue of Equity Shares of face value Rs. 10/- each ('Equity Shares"), through Qualified Institutions Placement ('QIP') under the provisions of Chapter VIII of Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2009, as amended from time to time (the 'SEBI ICDR Regulations"), and Section 42 of the Companies Act, 2013 (including the rules made thereunder); and
b. To Approve and adopt the Preliminary Placement Document dated August 1, 2018 in connection with the QIP. |
