| Exchange Received Time 12/04/2018 18:28:48 Exchange Disseminated Time 12/04/2018 18:28:53 Time Taken 00:00:05 | The Mumbai Bench of the National Company Law Tribunal ("NCLT") has vide it's order dated 9th March, 2018 (copy attached) sanctioned the Scheme of Amalgamation of Zodiac Finsec and Holdings Limited ("the Transferor Company and the wholly owned subsidiary of the Zodiac Clothing Company Limited") with Zodiac Clothing Company Limited, ("the Transferee Company") and their respective Shareholders.
The Certified Copy of this Order sanctioning the Scheme has been filed electronically by the Transferor Company and the Transferee Company with the Registrar of Companies, Mumbai, Maharashtra on 11th April, 2018.
The details of the merger as required under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated 9th September, 2015 are given as Annexure A to this letter.
