The above guidelines were issued by the Exchange with reference to Securities and Exchange Board of India (SEBI) circular no. SEBI/HO/MRD/DOPI/CIR/P/2018/159 dated December 28, 2018 regarding “Review of Offer for Sale (OFS) of Shares through Stock Exchange Mechanism”.
All Market Participants are hereby informed that, Southern Petrochemical Industries Corporation Limitedi (“Seller I”), Twinshield Consultants Private Limited (“Seller II”) and South India Travels Pvt Ltd (“Seller III”) (together the “Sellers”), a part of the promoter group of Tuticorin Alkali Chemicals & Fertilisers Ltd (the “Company”), being the selling promoter member proposes to sell up to 8,963,157equity shares of face value of Rs. 10/- each (the “Seller I Offer Shares”), 14,020,586 equity shares of face value of Rs. 10/- each (the “Seller II Offer Shares”) and 188,770 equity shares of face value of Rs. 10/- each (the “Seller III Offer Shares”) respectively, (the Seller I Offer Shares, Seller II Offer Shares and Seller III Offer Shares are hereinafter collectively referred to as the “Offer Shares”) representing 7.36%, 1.17% and 0.15% of the total paid equity share capital of the Company, respectively (aggregating to 10,572,513 equity shares representing 8.68% of the total paid up equity share capital of the Company on November 03, 2020 (Non Retail Investors Only ) and November 04, 2020 (Retail Investors and for allocation to the unalloted investors in the Non retail category choosing to carry forward their bids to T+1 Day) ) through a sale on the separate window provided by BSE Limited (the “BSE”) in accordance with the (i) SEBI OFS Circular (ii) “Revised Comprehensive modified Guidelines for Bidding in Offer for Sale (OFS) Segment” issued by BSE through its Notices, notice no. 20190118-43 dated January 18, 2019, notice no. 20160218-33 dated February 18, 2016, notice no. 20150702-28 dated July 2, 2015, and, to the extent applicable, the previous notices issued by the BSE in this regard, including notice no. 20150122-30 dated January 22, 2015, notice no. 20140902-33 dated September 2, 2014, notice no. 20130129-23 dated January 29, 2013, notice no. 20120727-26 dated July 27, 2012, notice no. 20120228-30 dated February 28, 2012 and notice no. 20120222-34 dated February 22, 2012; (the “Offer”). The particulars of the above offer for sale has been attached herewith.
The Floor Price for the Offer shall be Rs. 6.50/- (Rupees Six and Fifty Paise Only) per Equity Share.
