CIR/CFD/POLICYCELL/1/2015 dated April 13, 2015 and no. CFD/DCR2/CIR/P/2016/131 dated Dec 09, 2016. The Exchange vide its notice no. 20170210-16 dated Feb 10, 2017,20190424-35 dated April 24, 2019 and 20200528-32 dated 28 May 2020 and 20201102-43 dated 02 Nov 2020 has issued Revised Guidelines of Mechanism for acquisition of shares through Stock Exchange pursuant to Tender-Offers under Takeovers, Buy Back and Delisting.
All Market Participants are hereby informed that an Open Offer is made by Rising Sun Holdings Private Limited (“Acquirer”) along With Mr Sanjay Chamria (“PAC 1”) Mr Mayank Poddar (PAC 2”) has made a cash offer to acquire up to 19,88,32,105 (Nineteen Crore Eighty Eight Lakh Thirty Two Thousand One Hundred And Five) fully paid up equity shares having face value of Rs. 2 (Indian Rupees Two Only) Each (“Equity Shares”), representing 26% (Twenty Six Percent) of the expanded voting share capital of Magma Fincorp Limited (Target Company), at a price of Rs. 70.27/- per Equity Share (being the Offer Price of INR 70/- per Equity Share together with interest of INR 0.27/- per Equity Share.), in accordance with the Securities and Exchange Board Of India (Substantial Acquisition Of Shares And Takeovers) Regulations, 2011, as amended (“SEBI (SAST) Regulations”) From The Public Shareholders Target Company from May 4, 2021 to May 18, 2021.
