The Exchange vide its notice no. 20170210-16 dated Feb 10, 2017,20190424-35 dated April 24, 2019 and 20200528-32 dated 28 May 2020 and 20201102-43 dated 02 Nov 2020 has issued Revised Guidelines of Mechanism for acquisition of shares through Stock Exchange pursuant to Tender-Offers under Takeovers, Buy Back and Delisting.
All Market Participants are hereby informed that an Open Offer is made by Vishesh Gupta (Acquirer) to acquire upto 95,11,411 (Ninety Five Lacs Eleven Thousand Four Hundred and Eleven) Equity Shares of face value of Rs. 3.00/- each representing 26.00% of the total voting shares of Integra Garments And Textiles Ltd (Target Company) at a price of INR 0.30/- (Indian Paisa Thirty Only) per fully paid up equity share payable in cash, pursuant to Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 (‘SEBI (SAST) Regulations, 2011’) and subsequent amendments thereof from June 14, 2021 to June 25, 2021.
