CIR/CFD/POLICYCELL/1/2015 dated April 13, 2015 and no. CFD/DCR2/CIR/P/2016/131 dated Dec 09, 2016. The Exchange vide its notice no. 20170210-16 dated Feb 10, 2017, 20190207-23 dated 07 Feb 2019 and 20200528-32 dated 28 May 2020 and 20201102-43 dated 02 Nov 2020 and has issued Revised Guidelines of Mechanism for acquisition of shares through Stock Exchange pursuant to Tender-Offers under Takeovers, Buy Back and Delisting.
All Market Participants are hereby informed that an Offer for Voluntary Delisting of Equity Shares, is being made, to the Public Shareholders of Solid Containers Ltd (“Target Company”) by the Vyoman India Private Limited (formerly known as Vyoman Tradelink India Private Limited) (the “Acquirer”). The acquirer is making this delisting offer, to acquire 11,71,490 (Eleven Lakhs Seventy One Thousand Four Hundred Ninety) Equity Shares of face value of Rs. 10.00/- (Rupees Ten Only) each (‘equity shares’), representing 26.74% of the Equity Share capital of the Target Company, held by the Public Shareholders at the floor price of Rs. 18.15/- (Rupees Eighteen and Fifteen Paisa Only) per equity share through the reverse book-building process (“RBBP”) in respect of Delisting of Equity Shares of the Company, in accordance with the SEBI Delisting Regulations from February 02, 2022 to February 08, 2022.
